Let us share our thoughts and doubts with reference to CS EP: M II >P 4> Company Law paper on this platform for a larger benefit of the CA/CMA/CS students.

As you said "There are so many mistakes in the scanners",please refer scanners for only old questions & not for answers. For clarifications, refer to the bare acts.
It may be noted that the questions asked in professional examinations like CS, CA & CMA are of repetitive nature. But their answers are not the same. They tend to be variable as per the applicable Acts, Rules, Regulations, Notices and Circulars which prevail at that time. Hence please refer to the latest amendments before answering the questions & appearing the respective examinations and get those verified from the respective bare acts.
My advice to you is to study first your lessons from the latest study materials of ICSI (please discard your old study materials) & past questios & answers of institute & then appear your examination with confidence. Definitely, you will be successful.
Please attempt the following after completing the study of your latest study materials of the institute & preparing your own study notes.
(1) attempt mock tests of past questions under normal examination conditions,
(2) compare the your answers with the guide line answers of the Institute,
(3) note down your mistakes &
(4) revise your study notes accordingly for real examination.
Attempt the same procedure at least five times before appearing the real examination.

The following company law related questions were asked in recently held CA IPCE May 2012 Examination.
(1) Explain the provisions of the Companies Act, 1956, relating to the utilization, by a company, of the amount standing to the credit of Securities Premium Account.[ 5 Marks]
(2) Explain the doctrine of 'Indoor Management' as applicable in case of companies. Explain also the circumstances in which an outsider dealing with a company cannot claim any relief on the basis of doctrine of 'Indoor Management'. [ 8 Marks]
(3) Explain the procedure for change of name of a company, as provided in the Companies Act, 1956. [ 8 Marks]
(4) State whether the following statements are correct or incorrect:[ 1 Mark each]
(i) 'A private limited company must have a minimum of two directors, while a public limited company must have atleast three directors.'
(ii) 'A holder of share-warrant of a company is not a member of the company.'
(5) In what way a ' Member' of a company is different from that of a 'shareholder' of the company? [ 4 Marks]
(6) State the ordinary business which may be transacted at an AGM of a public limited company incorporated under the Companies Act, 1956. [ 4 Marks]
(7) Explain the role played by different committees in regulating the 'Corporate Governance' [ 4 Marks]
